Certificate of Formation Standards
Instrument and Naming
A certificate of formation creates a new filing entity in a state that uses that document name. Its name, uses, and requirements depend on the state. In a relocation, it belongs in the document list only when the destination state requires a distinct formation instrument for the chosen route. This family page directs readers to state standards instead of treating one state's rules as nationwide requirements.
Where Requirements Live
Each reviewed state page states the applicable requirements, cites each substantive rule, and displays its actual review date. The Texas page explains when a new Texas LLC or corporation formed through conversion or merger needs a certificate of formation submitted with the transaction filing. Other state pages will be added when their research and sources are verified.
